Terms of Service

Last updated: 24 October 2026 · Version 1.0

1. The agreement

These terms are between you and Adade Group Ltd ("Vindex", "we", "us"), a company registered in England and Wales (company number 16724207) with registered office at 5a Hythe Road, Thornton Heath, England, CR7 8QQ, operator of vindex.legal and the Vindex applications. By creating an account or using the service you accept them. If you use the service for a company or organisation, you confirm you have authority to bind it, and "you" means that organisation.

Our Privacy Policy is part of these terms and explains how we handle your data.

2. What Vindex is — and is not

Vindex is a software tool: it ingests documents you provide and uses software and third-party AI models to extract, summarise, critique, search and draft. It is a paid software-as-a-service offered internationally.

Vindex is not a law firm and does not provide legal advice. We are not solicitors, barristers or any other regulated legal professionals, and no solicitor–client (or equivalent) relationship is created by using the service. AI output can be incomplete, out of date, or simply wrong — including citations that look plausible but do not exist. You are responsible for verifying anything the service produces before you rely on it, for the documents you file, and for your own deadlines. If your matter warrants it, take advice from a qualified lawyer in your jurisdiction.

3. Accounts and eligibility

4. Acceptable use

You may use Vindex for lawful purposes in connection with legal matters you are entitled to work on. You must not:

You are responsible for third-party personal data in documents you upload — see the Privacy Policy, section 6.

5. AI features and third-party providers

Your content is processed by third-party AI providers (listed in the Privacy Policy) when you use analysis, drafting, transcription or voice features. Output quality varies between engines; the model picker shows which engine handles each request where available.

Voice dictation uploads audio clips for transcription; ambient/doorstep sessions record session transcripts and require your acknowledgement of the in-app consent notice. You must not use ambient listening features to record other people without the consent the law requires where you are.

6. Billing

7. Your content and ours

You keep all rights in documents and content you upload. You grant us a limited licence to host, process and transmit that content solely to provide and improve the service for your account. Drafts and output generated for you are yours to use; we claim no ownership over them. The service itself — software, design, branding — remains ours.

8. Availability and changes

The service is provided "as is" and "as available". It is in active development: features change, and we do not promise uninterrupted availability, error-free operation, or any particular level of service. We may suspend the service for maintenance, security, or legal reasons, and may change or discontinue features; where a change removes something you have paid for in advance we will make it right (for example with credit).

9. Liability

Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded — and if you are a consumer, nothing reduces your statutory rights (including, for Scottish users, the protections of Scottish law and courts where they mandatorily apply).

Subject to that:

10. Suspension and termination

11. Changes to these terms

We may update these terms; material changes are notified in-app or by email before they take effect, and the date at the top shows the current version. Continuing to use the service after a change takes effect means you accept it.

12. Governing law

These terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction — except that consumers keep the benefit of mandatory protections and courts of the jurisdiction where they live (including Scotland, Northern Ireland, EU member states and Ghana) where the law does not allow them to be contracted out of.
